New and Used Equipment Terms and Conditions of Sale

The foregoing items are sold “as is” and “where is”. RocxGroup, LLC (dba Rocxquip Equipment Sales) warrants title only.

There are no other warranties, express or implied including, without limitation, as to merchantability or fitness for a particular

purpose. All such warranties are expressly disclaimed. RocxGroup, LLC (dba Rocxquip Equipment Sales) shall not be liable,

whether as a result of breach of contract, warranty, liability in tort including or otherwise, for indirect, incidental, special,

punitive, consequential damages, including, without limitation, loss of profit, revenues or goodwill, loss of use of equipment,

cost of capital, cost of substitute equipment or services, or downtime costs, even if such damages were foreseeable and even

if seller was advised of the possibility of such damages. Both RocxGroup, LLC (dba Rocxquip Equipment Sales) and Purchaser

expressly agree that the foregoing limitations are agreed allocations of risk constituting in part the consideration for this sale.

Purchaser and RocxGroup, LLC (dba Rocxquip Equipment Sales) agree to all of the foregoing.
